Terms of Service

These Terms of Service ("Terms") govern access to and use of the Miseline platform — the web application, mobile applications, boards, APIs, and related services (together, the "Service") — provided by Keyed Systems ("Keyed", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer").

1. The Service

Miseline is a multi-tenant software platform for foodservice operations — including recipe and menu management, production planning, inventory and purchasing, clinical dining workflows, point of sale, compliance tooling, and analytics. Features available to you depend on your organization's subscription plan.

2. Accounts and responsibilities

  • You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account.
  • The Customer's designated owners and administrators control membership, roles, and data within their organization, including inviting and removing users.
  • You may not use the Service to violate law, infringe others' rights, probe or disrupt the Service, or attempt to access other tenants' data.

3. Subscriptions, trials, and fees

  • New organizations receive a free trial period; at its end, continued use requires a paid plan.
  • Paid plans are billed per active site as described on the pricing page or in an applicable order form. Fees are exclusive of taxes.
  • We may suspend Service for accounts with unpaid, overdue fees after reasonable notice.

4. Customer data

  • The Customer owns the data it and its users submit to the Service ("Customer Data"). We process Customer Data to provide and support the Service, as described in the Privacy Policy.
  • The Customer is responsible for having the rights and consents needed to submit Customer Data — including, where applicable, information about its own diners, residents, and staff.
  • Organizations operating in regulated care settings are responsible for determining whether the Service is appropriate for their regulatory obligations and for putting any required agreements in place with us before storing regulated data.
  • Upon termination, the Customer may request an export of its Customer Data within a reasonable period, after which we may delete it.

5. AI-assisted features

Some features use machine-learning models to generate drafts — for example recipe imports, nutrition estimates, catering quotes, meeting summaries, and recommendations. AI output is provided as a draft for human review, is labeled as such, and may be inaccurate. Nutrition and clinical outputs in particular require review by qualified personnel before reliance. The Customer is responsible for decisions made from AI-assisted output.

6. Intellectual property

We retain all rights in the Service and its software. The Customer retains all rights in Customer Data. Feedback you provide may be used to improve the Service without obligation.

7. Availability and support

We work to keep the Service available and performant but do not guarantee uninterrupted operation. Planned maintenance and factors beyond our control may affect availability. Support is provided via the support page.

8. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service supports — but does not replace — the Customer's own food-safety, clinical, and regulatory judgment and obligations.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of the Service is limited to the fees paid by the Customer in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.

10. Termination

The Customer may stop using the Service at any time. Either party may terminate for material breach that remains uncured after reasonable notice. We may suspend accounts that pose a security risk to the Service or other tenants.

11. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after the effective date constitutes acceptance.

12. Governing law and contact

These Terms are governed by the laws of [jurisdiction to be confirmed], without regard to conflict-of-laws rules. Questions about these Terms: use the support page.
